The logic seems straightforward: if one state charges $50 to form an LLC and another charges $500, forming in the cheaper state appears to cut costs. In practice, however, this reasoning often overlooks a critical requirement that reverses the math entirely.

When an LLC formed in one state conducts regular business activity in a different state — where its owners live, where employees work, or where it has a physical presence — that state typically requires the LLC to register as a foreign LLC before it can legally operate there. As of Q2 2026, formation and foreign-registration fees range from roughly $35 to $500 depending on the state, and many states charge separate annual or biennial report fees on top of that. The result is two sets of formation costs, two ongoing report fees, and usually two registered agent fees each year — one for the home state where the business actually operates and one for the state of formation.

The low-cost-state strategy does make practical sense in specific, narrower circumstances.
